Please read these terms carefully before placing your order. They govern all transactions with SAONIX Solar Pro.

These Terms and Conditions (“Terms”) apply to all quotations, invoices, orders, and installations by SAONIX Solar Pro (“the Company”). By placing an order or making an advance payment, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms.

These Terms protect both parties from daily market volatility, regulatory changes, and unforeseen operational events, and are aligned with established solar industry practices and Pakistani regulations.

Prices & Validity
Quotation pricing and market-driven adjustments

All quoted prices are valid only on the date of quotation or invoice and are subject to change without prior notice.

  • Prices are affected by volatile fuel, foreign currency exchange rates, and raw material markets — all of which fluctuate on a daily basis.
  • SAONIX Solar Pro reserves the right to revise prices at any time in response to market conditions beyond our control.
  • A quote issued today does not guarantee the same pricing will apply at the time of delivery or installation unless explicitly confirmed in writing.
  • Customers are advised to confirm current pricing before finalizing their order.

Advance Payment
Booking confirmation and price adjustment policy

An advance payment of 50% to 80% of the total order value is required to confirm and book your order.

  • Advance payment confirms your booking in the production and logistics schedule.
  • Payment of the advance does NOT lock in the quoted price. Prices remain subject to market fluctuations until delivery/installation.
  • Any difference in price — whether an increase or decrease — will be calculated and adjusted at the time of delivery or installation.
  • The final invoice amount may differ from the original quote due to exchange rate movements, supplier price changes, or applicable taxes.
✓ Any price reduction between booking and delivery will equally be passed on to the customer as a credit.

Stock & Delivery
Availability, timelines, and logistics

All delivery commitments are subject to supplier stock availability and logistics conditions.

  • If ordered equipment is unavailable or delayed at the supplier level, the Company is not liable and will provide a revised delivery date or an alternative pricing option.
  • Transport or shipment delays — including those caused by fuel shortages, port congestion, customs clearance delays, or labor strikes — relieve the Company of delivery timeline liability.
  • Delivery timelines are estimates only and not contractual guarantees unless explicitly stated in a separate written agreement.
  • The Company will make every reasonable effort to communicate delays promptly and provide updated timelines.
⚡ Estimated delivery dates will be communicated at the time of order confirmation. Please allow for reasonable variance.

Government Charges & Taxes
GST, duties, NEPRA, and regulatory fees

All applicable government-imposed charges, regulatory fees, and taxes are the sole responsibility of the customer and will be added to the final invoice.

  • GST (Goods & Services Tax): The government-imposed 10% GST on imported solar equipment — and any other applicable duties or surcharges — will be charged to the customer.
  • Net-Metering & Concurrence Fees: Any regulatory fees required by NEPRA (National Electric Power Regulatory Authority) for net-metering, concurrence approval, or grid connection are the customer’s responsibility.
  • Interconnection & Metering Costs: All costs mandated by the utility company or NEPRA for interconnection, metering equipment, or any grid-side infrastructure must be borne by the customer.
  • Any new taxes or levies introduced by the government after the quotation date will be passed on to the customer at the time of billing.
⚠ Government charges are non-negotiable and cannot be absorbed by the Company. These will always reflect actual regulatory requirements.

Site Readiness
Customer obligations before installation

Successful installation is contingent upon the customer’s site being fully prepared and accessible prior to the scheduled installation date.

  • The site must have clear, safe access for our installation team and equipment.
  • Proper mounting structures, civil work, wiring conduits, and main distribution boards must be ready as per the agreed scope of work.
  • Metering infrastructure and any DISCO-required interconnection points must be in place or arranged by the customer before installation begins.
  • Any delay caused by customer unpreparedness — including changing the installation plan, incomplete civil work, or lacking required clearances — will extend the schedule accordingly.
  • Additional visits, labor, or materials required due to site-related delays will incur extra charges billed to the customer.
✓ Our team will conduct a pre-installation site survey and provide a readiness checklist. Please ensure all items are addressed before the installation date.

Force Majeure
Events beyond the Company’s control

The Company shall not be held responsible for any delay, failure to perform, or increased cost arising from events beyond its reasonable control.

  • Natural Events: Floods, earthquakes, extreme weather, lightning, or other acts of God.
  • Energy & Infrastructure: Fuel price hikes, gas shortages, prolonged load-shedding, or power outages disrupting production or logistics.
  • Government & Regulatory: Import bans, export restrictions, new government policies, sudden regulatory changes, or port closures.
  • Civil Unrest: Riots, strikes, war, terrorism, civil disturbances, or political instability.
  • Transport Failures: Road closures, vehicle breakdowns, carrier failures, or international shipping disruptions.

Upon occurrence of a force majeure event, all affected deadlines and obligations are automatically extended by the duration of the event, without penalty to either party.

Warranty & Liability
Manufacturer warranty and exclusions

SAONIX Solar Pro acts as an authorized reseller and installer. Only the original manufacturer’s warranty applies to all equipment supplied.

  • The Company provides no additional warranty beyond the manufacturer’s stated terms for any component (panels, inverters, batteries, mounting, or accessories).
  • Warranty claims must be directed through the Company to the respective manufacturer. Processing timelines are governed by the manufacturer’s policy.
  • The Company is NOT liable for damage or loss caused by misuse, overloading, or unauthorized modification.
  • Theft, vandalism, fire, flood, lightning strikes, or other acts of God are excluded from any liability.
  • Third-party interventions or electrical grid issues outside the solar system are not covered.
⚡ Solar output naturally varies with weather, shading, and seasonal changes. No specific energy generation output is guaranteed.

Order Cancellation
Cancellation policy and refund conditions

Once an order is confirmed, goods dispatched, or installation commenced, it cannot be canceled without the Company’s explicit written approval.

  • Cancellation requests must be submitted in writing (email or formal letter) and are subject to management review and approval.
  • Approved cancellations after booking confirmation may result in forfeiture of the advance payment or deduction of an administrative fee.
  • Any supplier fees, import duties, customs clearance charges, or logistics costs already paid on the customer’s behalf are strictly non-refundable.
  • Where equipment has already been procured and cannot be returned, the full cost of those items may be charged regardless of cancellation approval.
⚠ The advance payment is a commitment fee. Please ensure you are fully ready to proceed before confirming your order.

Customer Conduct
Standards of engagement and zero-tolerance policy

SAONIX Solar Pro is committed to maintaining a respectful and professional environment for all customers and staff.

  • Customers are expected to engage with our team in a respectful, civil, and professional manner at all times.
  • Zero-tolerance policy: Any abusive, threatening, harassing, or intimidating behavior directed toward our staff will result in the immediate termination of the order and forfeiture of all payments made.
  • The Company reserves the right to refuse service to any individual who violates this code of conduct.
  • Any disputes should be raised formally in writing through the appropriate channel (see Section 10).

Disputes & Jurisdiction
Legal resolution and binding agreement

These Terms and Conditions constitute the entire and binding agreement between the customer and SAONIX Solar Pro.

  • Only these written Terms, combined with the official invoice issued by SAONIX Solar Pro, are legally binding.
  • No verbal commitments, promises, or side agreements made by any employee or agent of the Company are binding unless confirmed in writing and referenced in the official invoice.
  • Any disputes arising from a transaction will be resolved through good-faith negotiation as a first step.
  • Unresolved disputes will be subject to the applicable laws and courts of Pakistan, under the jurisdiction of the relevant civil courts.
  • The customer agrees that initiating legal proceedings without first attempting written resolution shall constitute a breach of this agreement.

Full Payment & Risk Transfer
What happens after full payment is made

Even when a customer has made full payment for goods or services, certain risks and responsibilities transfer to the customer upon payment confirmation, and the Company’s liability remains limited as described below.

  • Risk of Loss After Payment: Once full payment is received and goods have been ordered, procured, or imported specifically for the customer, the risk associated with those goods — including price changes, import issues, and availability — is shared between both parties. However, the Company’s obligation to deliver remains subject to all other Terms herein.
  • Price Adjustments Still Apply: Full payment does not lock in the final price. If government-imposed taxes, duties, fuel surcharges, or currency fluctuations cause cost increases between the payment date and delivery date, the difference will be invoiced separately and must be paid before delivery/installation is released.
  • Procurement Risk: If goods specifically ordered and paid for are affected by supplier bankruptcy, manufacturer discontinuation, import bans, or port/customs seizure — the Company will make all reasonable efforts to source alternatives. If no alternative is available, the customer will be offered a full refund of the paid amount excluding any non-recoverable fees (customs, shipping, handling) already incurred.
  • Storage & Holding: If goods arrive but the customer is not ready to receive delivery, a storage/holding charge may apply after 7 days. The Company is not liable for any deterioration, theft, or damage during extended customer-requested holding periods.
  • No Guarantee of Installation Date: Full payment does not reserve or guarantee a specific installation date. Scheduling is subject to technician availability, site readiness, and operational conditions at the time.
⚠ Full payment confirms your intent and procurement — it does not exempt the order from price adjustments, force majeure delays, or government-imposed changes that arise before delivery.
⚡ If any additional amount is owed due to post-payment price changes, the Company will notify you in writing before delivery proceeds. You will have the option to pay the difference or request a refund of recoverable amounts.

Emergency Suspension & Uncontrollable Events
Government actions, national crises, and market shutdowns

SAONIX Solar Pro operates in a market subject to significant external pressures in Pakistan. The Company explicitly reserves the right to suspend, delay, cancel, or renegotiate any order — regardless of payment status — when any of the following uncontrollable events occur:

Government & Regulatory Actions

  • Sudden imposition of new import bans, tariffs, or restrictions on solar equipment or related materials.
  • Changes in NEPRA policy, net-metering regulations, or grid connection rules that fundamentally alter the scope or cost of an installation.
  • Government-mandated price controls, currency devaluation, or official exchange rate adjustments that increase landed costs by more than 10%.
  • Court orders, regulatory freezes, or government directives that prevent import, sale, or installation of specific equipment.
  • New or retroactive taxation (GST, customs duty, withholding tax) applied to goods already in transit or in stock.

Fuel & Energy Market Disruptions

  • A sudden and significant rise in fuel prices (petrol, diesel, CNG) that materially increases logistics, transport, or operational costs.
  • Fuel shortages causing inability to operate vehicles for delivery or installation teams.
  • Prolonged or severe load-shedding that halts warehouse, workshop, or installation operations.
  • Gas supply cuts or energy rationing that affect production, testing, or commissioning of systems.

Civil Unrest, Protests & Lockdowns

  • Nationwide, citywide, or area-specific protests, dharnas, or road blockades that prevent delivery or technician movement.
  • Government-declared curfews, emergency lockdowns, or public safety restrictions (including COVID-type scenarios).
  • Labor strikes — whether at ports, supplier facilities, logistics providers, or internal — that halt the supply chain.
  • Riots, civil disturbances, or politically motivated disruptions that affect business operations or the safety of staff.
  • Internet or communication shutdowns that prevent order processing, coordination, or supplier contact.

Natural Disasters & Acts of God

  • Floods, earthquakes, extreme storms, heatwaves, or any natural disaster that damages goods in transit, in storage, or at the installation site.
  • Lightning strikes, fire, or water damage to equipment not yet handed over to the customer.
  • Any event classified under Pakistani insurance law or international trade law as an “act of God.”

Market Collapse or Supply Chain Failure

  • Complete collapse of the solar equipment market price (up or down) due to global economic shocks, international sanctions, or trade wars.
  • Supplier insolvency, manufacturer shutdown, or global component shortages (e.g., semiconductor shortages affecting inverters).
  • Shipping route closures, port congestion, or international logistics failures causing indefinite delays.

What Happens to Your Order & Payment

  • The Company will notify the customer in writing as soon as practically possible when any such event occurs.
  • Orders will be placed on hold for the duration of the event. No penalty applies to either party during the suspension period.
  • Once the event resolves, both parties will agree in writing on a revised delivery schedule and updated pricing reflecting current market conditions.
  • If the event renders fulfillment permanently impossible (e.g., permanent import ban on a specific product), the customer will be offered: (a) a full alternative product at current market price, or (b) a refund of the recoverable portion of payments made — excluding any non-refundable costs already spent on procurement, import, customs, or logistics on the customer’s behalf.
  • Under no circumstances will the Company be liable for consequential losses, lost savings on electricity bills, lost business income, or any indirect damage arising from order delays or cancellations caused by these events.
⚠ These protections are not a loophole — they are a legal necessity. Pakistan’s economic environment, import regulations, fuel market, and political landscape create genuine, daily business risks that no responsible company can absorb on behalf of customers. This clause ensures we can always complete your order once conditions allow, rather than going insolvent trying to honor contracts at a loss.
✓ In every scenario, the Company’s goal is order completion. Suspension is always temporary when possible. We will proactively communicate updates and work with you on the best available resolution.

By Proceeding, You Agree

Placing an order, submitting an advance payment, or accepting delivery from SAONIX Solar Pro constitutes full acceptance of these Terms and Conditions.
